Vendor Terms

Last Updated: 12/12/2025 These Vendor Terms & Conditions (“Agreement”) govern the relationship between RexCRM India (“RexCRM”, “We”, “Us”, “Our”) and any vendor, reseller, partner, or service provider (“Vendor”, “You”). By registering as a Vendor or providing services to RexCRM, you agree to comply with these terms. 1. Vendor Eligibility Vendor must be legally registered or authorized to provide services or resell digital products Vendor must comply with all applicable Indian laws, regulations, and business standards RexCRM reserves the right to approve or reject any vendor application at its sole discretion 2. Scope of Engagement Vendors may be engaged for: Reselling RexCRM services Marketing, lead generation, or customer onboarding Technical support, integrations, or development services Any other services mutually agreed in writing The scope of work may vary and can be modified by RexCRM at any time. 3. Vendor Responsibilities The Vendor agrees to: Represent RexCRM honestly and accurately Follow RexCRM branding, pricing, and communication guidelines Not make false, misleading, or unauthorized claims Not engage in spam, illegal promotions, or unethical marketing practices Maintain confidentiality of RexCRM systems, data, and processes 4. Pricing, Commission & Payments Vendor commissions or payouts (if applicable) will be defined separately RexCRM reserves the right to revise commission structures at any time Payments will be processed as per agreed timelines and payment methods No commission will be paid for fraudulent, fake, or policy-violating transactions 5. Compliance with WhatsApp & Third-Party Policies Vendors must strictly comply with WhatsApp, Meta, and third-party platform policies Any suspension or ban caused by vendor actions will be the sole responsibility of the Vendor RexCRM will not be liable for penalties or damages caused by vendor non-compliance 6. Confidentiality Vendors must keep all non-public information confidential This includes pricing, source code access (if any), customer data, APIs, and internal documents Confidentiality obligations continue even after termination of the vendor relationship 7. Data Protection & Privacy Vendors must handle customer and business data securely Sharing, selling, or misusing data is strictly prohibited Vendors must comply with applicable data protection and IT laws of India 8. Intellectual Property All RexCRM trademarks, logos, software, content, and materials remain the exclusive property of RexCRM Vendors are granted limited, non-transferable rights to use branding strictly for authorized purposes No ownership rights are transferred to the Vendor 9. Independent Contractor Relationship Vendors act as independent contractors, not employees or agents of RexCRM Vendors have no authority to bind RexCRM to any agreement or obligation 10. Termination RexCRM reserves the right to: Suspend or terminate vendor access without notice Terminate immediately in case of policy violations, fraud, or misconduct Vendors may also terminate the relationship by providing written notice. 11. Limitation of Liability RexCRM shall not be liable for: Vendor business losses Loss of profits or commissions Third-party platform suspensions Indirect or consequential damages All vendor services are provided on an “as-is” basis. 12. Indemnification Vendor agrees to indemnify and hold harmless RexCRM from any claims, losses, damages, or legal actions arising from: Vendor’s misconduct Policy violations Illegal or unauthorized activities 13. Governing Law & Jurisdiction This Agreement shall be governed by the laws of India. All disputes shall be subject to the jurisdiction of courts in India. 14. Modifications RexCRM may update these Vendor Terms & Conditions at any time. Continued association with RexCRM after changes constitutes acceptance. 15.
